Board and decision-making processes

This page outlines the governance structure of TUNAFASI, including the composition of our board, how decisions are made, and the roles of our director and team.

Board Composition

TUNAFASI is governed by a voluntary board responsible for the strategic direction and oversight of the foundation. The board members are introduced on our Who We Are page.

Remuneration Policy

Board members of TUNAFASI serve on a fully voluntary basis and receive no remuneration or expense reimbursement for their board activities.

Director's Role and Representation

The foundation is represented by the board, or by two board members acting jointly. The board may appoint officers with general or limited representative authority (power of attorney), each of whom may represent the foundation independently within the limits of their designated authority. The title of such officers, such as the title of director, is determined by the board.

In practice, the foundation works with a small team of freelance professionals, each engaged in specific roles and responsibilities. This includes the director, Betteke de Gaay Fortman, who is responsible for the overall coordination within TUNAFASI, including the management of the team, donor and board relations, and oversight of the grassroots partners and programmes in the Global South.

The foundation has no salaried employees.

Freelancers and Volunteers

TUNAFASI works with a small team of freelancers, each contributing their own expertise in a dedicated role within the organisation. In addition, a number of volunteers support the work of TUNAFASI on an unpaid basis. Together, this team forms the operational backbone of the organisation alongside the director. Decision-Making

The board convenes at least once per calendar quarter to review the foundation's activities, finances, and strategic direction. Decisions are taken collectively by the board in accordance with the foundation's statutes.

Conflict of Interest

Board members are expected to act at all times in the interest of the foundation and the grassroots organizations and communities it serves. Where a potential conflict of interest arises, the board member concerned will declare this and absent themselves from the relevant decision-making process.
